Terms of service

1. Acceptance of Terms
By engaging CivicShield LLC (“CivicShield,” “we,” “us,” or “our”) for services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), which constitute a legally binding agreement. These Terms apply to all services, including but not limited to consulting, assessments, training, planning, and support.

 
2. Scope of Services
CivicShield provides physical security assessments, emergency preparedness planning, active threat training, cybersecurity evaluations, security awareness training, and related professional consulting. The scope of each service will be defined in a written proposal or contract. CivicShield reserves the right to refuse or modify services at its discretion.

 
3. Client Responsibilities
Clients agree to:

Provide accurate and timely information necessary for service delivery
Ensure lawful and safe access to physical or digital environments as needed
Maintain responsibility for internal decisions based on CivicShield recommendations
Comply with all federal, state, and local laws, including but not limited to those in Louisiana
 
4. Payment & Fees
All fees are due in accordance with the terms specified in your service agreement or invoice. Unless otherwise agreed in writing:

A 50% deposit is due upon project initiation
Remaining balance is due upon delivery of final materials or conclusion of services
Late payments are subject to a 2% monthly interest charge
Failure to pay may result in suspension or termination of services and/or legal action.

 
5. Confidentiality
CivicShield agrees to keep confidential any proprietary or sensitive information provided by the Client. Likewise, the Client agrees not to disclose CivicShield's proprietary methods, documents, or materials to third parties without express written consent.

 
6. Intellectual Property
All training materials, templates, reports, documents, and deliverables created by CivicShield remain the intellectual property of CivicShield unless explicitly transferred by written agreement. Clients are granted a non-exclusive, non-transferable license to use these materials for internal purposes only.

 
7. Limitation of Liability
CivicShield shall not be liable for any indirect, incidental, punitive, or consequential damages arising from the use of its services. CivicShield's total liability for any claim, whether in contract or tort, shall not exceed the amount paid by the Client for the specific services in question.

 
8. No Warranty or Guarantee
CivicShield provides services based on professional standards and best practices but does not guarantee prevention of incidents, compliance approvals, or regulatory certification. Implementation of recommendations is the responsibility of the Client. All services are provided "as is" without warranties of any kind, either express or implied.

 
9. Indemnification
The Client agrees to indemnify, defend, and hold harmless CivicShield and its affiliates, officers, agents, and employees from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from the Client’s misuse of services, violation of these Terms, or non-compliance with applicable laws.

 
10. Force Majeure
CivicShield is not liable for delays or failures resulting from acts of God, natural disasters, government restrictions, labor disputes, cyberattacks, utility failures, pandemics, or any other cause beyond its reasonable control.

 
11. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Louisiana. Any disputes shall be resolved in the courts of Jefferson Parish, Louisiana, and both parties consent to such jurisdiction.

 
12. Termination
Either party may terminate the engagement with written notice. In the event of early termination by the Client, CivicShield shall be entitled to payment for all services rendered and any non-refundable project expenses.

 
13. Amendments
CivicShield reserves the right to modify these Terms at any time. Updates will be posted on our website and will take effect upon posting. Continued use of our services constitutes acceptance of any changes.

 
14. Severability
If any part of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.

 
15. Entire Agreement
These Terms, along with any signed agreements or proposals, constitute the full agreement between the Client and CivicShield and supersede all prior communications or understandings.
