Civic-Shield Terms of Service
Acceptance of Terms
By engaging Hastings 1066 LLC d/b/a Civic-Shield (“Civic-Shield,” “we,” “us,” or “our”) for services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement and apply to all services—including, but not limited to, consulting, assessments, training, planning, and ongoing support. Accepting services electronically or in writing is valid and enforceable.
Definitions
“Services” refers to any consulting, assessments, training, planning, evaluation, or support provided by Civic-Shield. “Client” refers to any person or organization engaging Civic-Shield.
Scope of Services
Civic-Shield provides physical security assessments, emergency preparedness planning, active threat training, cybersecurity evaluations, security awareness training, compliance consulting, and related professional services as defined in a written proposal or contract. Civic-Shield reserves the right to refuse or modify services at its discretion.
Client Responsibilities
Clients agree to:
Provide accurate and timely information necessary for service delivery.
Ensure lawful and safe access to physical or digital environments as needed.
Maintain responsibility for internal decisions based on Civic-Shield recommendations.
Comply with all federal, state, and local laws—including but not limited to those in Louisiana.
Payment & Fees
All fees are due per your service agreement or invoice. Unless otherwise specified:
50% deposit due upon project initiation
Remaining balance due upon final delivery or project completion.
Late payments subject to 2% monthly interest.
Failure to pay may result in suspension or termination of services and/or legal action.
Confidentiality & Data Privacy
Civic-Shield will keep confidential any proprietary or sensitive information from the Client and will comply with relevant privacy laws (e.g., HIPAA, if applicable). Likewise, Clients must not share Civic-Shield’s proprietary methods, documents, or materials without written consent.
Intellectual Property
All materials, templates, reports, documents, and deliverables produced by Civic-Shield remain its intellectual property unless otherwise agreed in writing. Clients receive a non-exclusive, non-transferable license for internal use only.
Limitation of Liability
Civic-Shield is not liable for any indirect, incidental, punitive, or consequential damages resulting from services. Civic-Shield’s total liability for any claim will not exceed the amount paid by the Client for those specific services.
No Warranty or Guarantee
All services are based on professional standards and best practices, but Civic-Shield does not guarantee incident prevention, regulatory certification, or compliance approvals. Implementation is the Client’s responsibility. All services are provided “as is” without warranty.
Indemnification
Client agrees to indemnify, defend, and hold harmless Civic-Shield and its affiliates, officers, agents, and employees against claims, liabilities, damages, or expenses (including reasonable legal fees) arising from misuse of services, violation of these Terms, or non-compliance with applicable laws.
Force Majeure
Civic-Shield isn’t liable for delays/failures from acts of God, disasters, government restrictions, labor disputes, cyberattacks, utility failures, pandemics, or other events beyond our control.
Governing Law & Jurisdiction
These Terms are governed by Louisiana law. Disputes will be resolved in courts of Jefferson Parish, Louisiana; both parties consent to this jurisdiction.
Dispute Resolution
Prior to formal litigation, both parties agree to attempt resolution through good faith mediation or arbitration.
Termination & Notice
Either party may terminate the engagement by written notice, delivered by email or certified mail. If the Client terminates early, Civic-Shield is entitled to payment for all services performed and non-refundable expenses.
Amendments
Civic-Shield may modify these Terms at any time. Updates will be posted on our website and effective upon posting. Continued use of services means acceptance of changes.
Severability
If any part of these Terms is found invalid or unenforceable, the remaining terms remain in full effect.
Entire Agreement
These Terms and any signed agreements or proposals comprise the entire agreement between the Client and Civic-Shield, superseding prior communications or understandings.
